TERMS AND PAYMENT: Invoice payment terms are net 30 days from the invoice date subject to prior credit approval. A 1 percent cash discount will be allowed on invoices paid by the 10th of the month following the month of billing. Mercury Lighting Progress does not ship orders C O D. Payments may be made by check, ACH, wire transfer, or other approved electronic money transfer methods. A service charge of 1.5 percent per month or the maximum lawful rate if less shall be assessed on all past due balances. Any account past due by 30 days or more may be placed on a pay in advance basis at the sole discretion of Mercury Lighting Progress. If Buyer fails to timely pay any amount due, Mercury Lighting Progress may cancel or postpone delivery of products without liability. In the event formal collection proceedings are required, Buyer shall be responsible for all reasonable attorney fees and collection costs. If Buyer enters dissolution, insolvency, or bankruptcy proceedings whether voluntary or involuntary, all outstanding amounts shall immediately become due and payable, and Mercury Lighting Progress may cancel any open orders.

PRICES: The prices contained herein supersede all previous price listings. Prices are subject to change without notice and without liability with respect to previous sales. Quotations are valid for a period of 30 days unless otherwise specified on the quotation. Quotations are based on complete shipments at one time to one destination unless otherwise specified. Mercury Lighting Progress reserves the right to withdraw any quotation at any time prior to order acceptance.

ACCEPTANCE OF ORDERS: All orders are subject to acceptance by Mercury Lighting Progress at its main offices. No deductions or credits of any kind will be allowed on invoices. Errors or discrepancies must be reported within 10 working days from the invoice date. Any terms or provisions contained in a purchaser’s order that are not expressly accepted in writing by Mercury Lighting Progress shall not be binding. No waiver, alteration, or modification of these terms shall be binding unless authorized in writing by Mercury Lighting Progress.

MINIMUM ORDERS: Minimum billing per order is 1000 dollars. Mercury Lighting Progress reserves the right to waive the minimum. Catalog numbers, cuts, and price bulletins are indicative only and do not imply stock availability. Mercury Lighting Progress reserves the right to decline manufacture of non-standard items when order quantities are insufficient for production.

HOLD ORDERS: Orders marked hold for release will not be released to production until a firm release date is provided. Special components not normally stocked will not be procured until release. Pricing may be subject to review if the release date extends beyond the original quotation period.

RETURNED GOODS: No merchandise may be returned without a Returned Goods Authorization issued by Mercury Lighting Progress. Authorization is granted at the sole discretion of Mercury Lighting Progress. Requests must be made within 30 days of shipment. Approved returns are subject to a minimum restocking charge of 25 percent plus all applicable freight costs. Custom or made-to-order fixtures are non-returnable.

CANCELLATIONS: Order cancellations are accepted only for stocked items that have not entered production. Handling and restocking charges may apply. Custom or made-to-order fixtures are not subject to cancellation once production or procurement of special components has begun.

FREIGHT AND DELIVERY: All prices are F.O.B. factory. Title and risk of loss pass to the customer upon delivery to the carrier. Claims for loss or damage must be made directly with the carrier. Mercury Lighting Progress is not responsible for delays caused by events beyond its reasonable control including labor shortages, supply chain disruptions, or acts of government.

PACKAGING: Products are packaged for safe transport using commercially reasonable methods. Mercury Lighting Progress reserves the right to determine packaging methods and quantities.

PRODUCT DIMENSIONS AND SPECIFICATIONS: Product dimensions, specifications, and performance data are subject to change without notice. Mercury Lighting Progress assumes no liability for typographical or dimensional errors.

CERTIFICATIONS: Products are manufactured and labeled in accordance with applicable UL or equivalent safety standards.

LED PRODUCT WARRANTY: Mercury Lighting Progress LED luminaires and LED components carry a standard five-year limited warranty from the date of shipment when installed and operated under normal conditions. An optional ten-year warranty is available on select products when specified at time of order and subject to published terms. Warranty coverage is limited to repair or replacement of defective products or components at the discretion of Mercury Lighting Progress. Labor, removal, reinstallation, and freight costs are not included unless expressly authorized in writing. Damage due to improper installation, misuse, abnormal operating conditions, or unauthorized modification voids the warranty.

GENERAL ORDERING INFORMATION: All products are designed and manufactured utilizing LED light sources and modern electronic drivers. Products are furnished without lamps or replaceable light sources unless specifically noted. Accessories and options are available as published at time of quotation. Consult Mercury Lighting Progress for voltage options, controls compatibility, emergency options, and project specific requirements.

CATALOG ERRORS AND OMISSIONS: Mercury Lighting Progress reserves the right to correct errors or omissions in published materials at any time without obligation.
